Terms of Service

Please read these Terms of Service ("Terms") carefully before using the BayKit platform operated by BayKit, Inc. ("BayKit," "Company," "we," "us," or "our"). By creating an account or accessing the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using BayKit you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. These Terms constitute the entire agreement between you and BayKit with respect to the Service and supersede all prior agreements.

2. Service Description

BayKit is a SaaS platform that provides eBay sellers with AI-powered listing optimisation, bulk management, pricing intelligence, image enhancement, and sales analytics. The Service connects to eBay via official eBay REST APIs and uses large language model inference to generate and improve listing content.

Features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration

Accurate Information. You agree to provide accurate, current, and complete information during registration and to keep your account information up-to-date.

Account Security. You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@baykit.ai if you suspect any unauthorised use of your account.

One Account Per Person. You may not create multiple accounts for the same individual. Business accounts (Business plan) may connect multiple eBay stores as described in the plan documentation.

eBay Account Ownership. You represent and warrant that you are the authorised owner or operator of any eBay account you connect to BayKit.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or eBay Seller Policies, including eBay's API License Agreement.
  • List counterfeit, prohibited, or infringing items on eBay using AI-generated content produced by BayKit.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Access the Service through automated means (scrapers, bots) outside of the official BayKit API, where available.
  • Introduce malware, viruses, or any code designed to disrupt the Service.
  • Resell or sub-license the Service without prior written permission from BayKit.
  • Use the Service in a manner that exceeds your plan's rate limits or places undue burden on our infrastructure.

BayKit reserves the right to investigate and take appropriate action against any user suspected of violating these terms, including account suspension or termination without refund.

5. eBay API Compliance

BayKit integrates with the eBay Sell, Browse, Trading, and Analytics APIs subject to eBay's API License Agreement. By using BayKit you acknowledge:

You remain solely responsible for compliance with all eBay Seller Policies, eBay User Agreement, and applicable listing standards. BayKit AI suggestions are recommendations only; you bear full responsibility for any content published on eBay through the Service.

BayKit does not guarantee that AI-optimised listings will comply with eBay category-specific rules or achieve any particular ranking or sales outcome.

If eBay suspends or restricts its API access in a way that affects the Service, BayKit will not be liable for resulting service disruption.

6. Payment & Billing

Paid subscriptions are billed in advance on a monthly or annual cycle, depending on the plan you select. Billing is processed by Stripe. By subscribing you authorise BayKit to charge your payment method on the applicable recurring basis.

Free Trial. Paid plans include a 14-day free trial. No credit card is required to start a trial. At the end of the trial, your account will downgrade to the Free tier unless you add a payment method.

Refunds. You may request a full refund within 30 days of your first paid charge by contacting billing@baykit.ai. Refunds for subsequent billing periods are at BayKit's discretion.

Price Changes. We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing period.

Taxes. Prices shown are exclusive of applicable taxes. You are responsible for all taxes arising from your subscription.

7. Intellectual Property

BayKit IP. The Service, including its software, algorithms, design, trade dress, trademarks, and documentation, is owned by BayKit and protected by copyright, trademark, and other laws. You receive a limited, non-exclusive, non-transferable licence to use the Service solely for your lawful business purposes under these Terms.

Your Content. You retain ownership of your eBay listing data, images, and any original content you bring to the Service. You grant BayKit a limited licence to process your content solely for the purpose of providing and improving the Service.

AI-Generated Content. Listing copy, titles, and descriptions generated by BayKit AI are provided to you for use in your eBay listings. You are solely responsible for reviewing and approving AI-generated content before publication.

8. Limitation of Liability

To the maximum extent permitted by applicable law, BayKit and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from or related to your use of the Service.

BayKit's total cumulative liability to you for any claims under these Terms shall not exceed the greater of (a) the amounts paid by you to BayKit during the twelve months immediately preceding the claim, or (b) one hundred US dollars (USD $100).

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. BayKit does not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

9. Termination

You may cancel your subscription at any time from your account Settings page. Cancellation takes effect at the end of the current billing period; you retain access to the Service until that date. Refunds for unused time are issued at BayKit's discretion unless required by law.

BayKit may suspend or terminate your account immediately without notice if you breach these Terms, engage in fraudulent activity, or if required to do so by law. Upon termination, your right to use the Service ceases immediately. We will handle your data as described in our Privacy Policy.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for resolution of any disputes arising under these Terms. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
